Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern your use of the GovBid website at https://govbid.ca and the GovBid subscription service (collectively, the “Service”), operated by GovBid (“we,” “us,” or “our”).
By checking the “I agree to the Terms of Service and Privacy Policy” checkbox during account creation, you enter into a legally binding agreement with GovBid. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not create an account or use the Service.
2. Description of the Service
GovBid is an AI-powered government procurement intelligence service that:
- Monitors publicly available government tender notices from official sources including CanadaBuys and SAM.gov.
- Uses artificial intelligence to translate tender notices from bureaucratic language into plain English summaries.
- Automatically builds a business profile based on publicly available information about your company.
- Matches relevant tenders to your business profile using an automated scoring algorithm.
- Delivers matched tender notices to your email inbox on each business day.
2.1 Government Data Disclaimer
IMPORTANT: Please read this section carefully.
The government tender data we provide is sourced from publicly available government databases. While we make reasonable efforts to ensure accuracy and timeliness:
- We do not guarantee the completeness, accuracy, or currency of any tender information.
- Tender details, deadlines, and requirements may change after we process them.
- We are not a government entity. We have no affiliation with or endorsement by any government procurement office.
- Our plain English summaries are AI-generated interpretations and may omit details or misinterpret specifications.
- Contract value estimates are approximations and may not reflect actual contract value.
YOU ARE SOLELY RESPONSIBLE FOR: (a) verifying all tender details on the official procurement portal before bidding, (b) meeting all bid requirements and deadlines, (c) ensuring your submissions comply with all applicable laws, and (d) any decisions you make based on information provided by the Service.
2.2 AI-Generated Content Disclaimer
The Service uses artificial intelligence (Anthropic's Claude language model). You acknowledge and agree that:
- AI-generated output may contain factual errors, omissions, or hallucinated information.
- AI-generated summaries are not legal, financial, or professional procurement advice.
- You should never rely solely on AI-generated content when making business decisions.
- The automated business profile generated for your company may be inaccurate and you are responsible for reviewing and correcting it.
3. Account Registration and Consent
To use the Service, you must create an account by providing a valid business email address, your full name, and your company name. You agree to provide accurate and complete information.
During registration, you must affirmatively check a consent box agreeing to these Terms of Service, our Privacy Policy, receipt of daily commercial electronic messages (CASL), and automated AI profiling of your business. This explicit consent is recorded with a timestamp and your IP address as required by CASL.
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately at our support email of any unauthorized use.
4. Subscription Plans, Payment, and Pricing
4.1 Available Plans
- Canada Plan — $49.99 USD/month: All Canadian federal government tender notices from CanadaBuys.
- United States Plan — $49.99 USD/month: All US federal government tender notices from SAM.gov.
- North America Plan — $74.99 USD/month: Both Canadian and US federal government tender notices.
All prices are in US Dollars. Applicable taxes may apply based on your jurisdiction.
4.2 Free Trial
New subscribers may be eligible for a 7-day free trial period with full access. If you do not cancel before the trial ends, your payment method will be automatically charged. The free trial is limited to one per person, business, and payment method.
4.3 Billing and Payment
Subscriptions are billed monthly in advance through Stripe, Inc. If a payment fails, we will attempt to charge your payment method up to 3 times over 7 days. If all attempts fail, your subscription will be suspended. Your data will be retained for 30 days before cancellation and deletion.
4.4 Price Changes
We may change subscription prices with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle following the notice period.
4.5 Money-Back Guarantee
We offer a 30-day money-back guarantee on your first subscription payment. If you are not satisfied within 30 days of your first paid charge, contact us at our support email for a full refund. This guarantee is limited to one refund per customer, first monthly payment only.
4.6 Cancellation
You may cancel at any time through the Stripe billing portal or by emailing our support email. Upon cancellation, you continue to receive tender emails through the end of your current paid billing period. No further charges will be applied. Your account data will be permanently deleted within 90 days.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose.
- Resell, redistribute, or commercially exploit content from the Service without prior written consent.
- Attempt to reverse-engineer, decompile, or extract source code, algorithms, or AI models.
- Use automated tools, bots, or scrapers to access the Service or extract data.
- Interfere with or disrupt the Service, its servers, or infrastructure.
- Attempt to gain unauthorized access to any part of the Service.
- Impersonate any person or entity.
- Upload or transmit malicious code, viruses, or harmful content.
Violation may result in immediate suspension or termination without refund.
6. Intellectual Property
The Service — including its software, algorithms, AI models, matching engine, email templates, translations, website design, and branding — is the exclusive property of GovBid. Government tender data is public information; our proprietary value lies in the AI processing, translation, matching, and delivery.
You retain ownership of information you provide (replies, feedback, corrections). You grant us a non-exclusive, royalty-free license to use it solely for improving your matching profile and the Service. This license terminates when your account is deleted.
7. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
The Service is an informational tool only. It is not a substitute for professional procurement consulting, legal advice, financial analysis, or your own due diligence.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
GovBid shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, missed tender deadlines, failed bid submissions, or business decisions made in reliance on AI-generated content.
GovBid shall not be liable for any losses arising from reliance on AI-generated summaries, inaccuracies in automated business profiles, or failure of the matching algorithm.
Our total aggregate liability for all claims shall not exceed the lesser of: (a) the total amount you paid to GovBid in the 12 months preceding the claim, or (b) $500 USD.
9. Indemnification
You agree to indemnify, defend, and hold harmless GovBid from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, your violation of these Terms, your bid submissions or interactions with government procurement offices, or your violation of any third party's rights.
10. Dispute Resolution
Governing Law: These Terms are governed by the laws of British Columbia and the federal laws of Canada.
Informal Resolution: Before initiating formal proceedings, you agree to contact us at our support email and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration: If unresolved, disputes may be submitted to binding arbitration administered by the BCICAC in Vancouver, BC.
Class Action Waiver: Any dispute resolution will be conducted only on an individual basis, not in a class, consolidated, or representative action.
11. Service Availability and Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. Material changes require at least 14 days' notice. Service discontinuation requires at least 30 days' notice plus a pro-rated refund.
12. Termination
We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or payment cannot be collected after the grace period. Sections 6, 7, 8, 9, 10, and 14 survive termination.
13. Communications
By creating an account and checking the consent box, you expressly consent under CASL to receive commercial electronic messages from GovBid, including daily tender digest emails. Each email will identify GovBid as the sender, include our mailing address, and contain a functioning unsubscribe mechanism. You may unsubscribe at any time; requests are processed within 10 business days.
14. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and GovBid regarding the Service.
- Severability: If any provision is found unenforceable, it shall be modified to the minimum extent necessary. Remaining provisions continue in full force.
- No Waiver: Failure to enforce any right shall not constitute a waiver.
- Assignment: You may not assign these Terms without our prior written consent. We may assign in connection with a merger or acquisition.
- Force Majeure: We shall not be liable for failure due to causes beyond our reasonable control.
- Notices: Notices to you will be sent to your account email. Notices to us should be sent to our support email.
- Changes: Material changes to these Terms will be communicated by email at least 14 days before taking effect.
